Terms of Service

These Terms govern your engagement with Business Blueprints, operated by Brennan Macneil ("I," "me," "my"), and you ("Client," "you," "your"). By booking a call, paying an invoice, or otherwise engaging my services, you agree to these Terms.

Plain English version: I'll do great work. You'll pay on time. We'll both act in good faith. Everything below is just the longer version of that.

1. The service

I provide a 1:1 done-for-you Blueprint build — a 30-day sprint where I map your business into a Central Operating System™. Specifically:

  • Custom Central Operating System™ map
  • Documentation of every department
  • Sales, marketing, and content flywheels
  • SOPs and process docs for every role
  • KPI dashboard and weekly review cadence
  • Up to four (4) weekly 1:1 strategy calls
  • Final handoff with full ownership transfer

I'll do my best to deliver above and beyond. I do not guarantee any specific business outcome (revenue, growth, hiring, etc.) — those depend on your execution.

2. Fees and payment

Total fee: $9,500 USD, flat.

Payment schedule: 50% ($4,750) due before kickoff to reserve your slot. The remaining 50% is due on handoff (Day 30).

Payment method: Stripe, by invoice. All fees are non-refundable except as set out in Section 6.

Late payment: Final invoices unpaid 14 days past handoff incur a 2% monthly late fee. I reserve the right to withhold final deliverables until payment clears.

3. Booking and scheduling

Once your initial 50% is paid, you'll get access to my private calendar to book your kickoff call. Slots are limited (2 clients per month) and assigned on a first-paid basis.

If you need to reschedule a call, give at least 24 hours' notice. Repeated last-minute cancellations may extend your delivery timeline.

4. Your responsibilities

For me to deliver on time, I need you to:

  • Show up to scheduled calls (or reschedule with notice)
  • Provide the information, access, and context I request
  • Review deliverables and give feedback within 5 business days of receipt
  • Be honest about how the business actually runs

If you go silent for more than 14 consecutive days, I may pause your build and resume on your return — though I can't guarantee timeline preservation.

5. Scope and revisions

The scope is defined during our intro call and confirmed in writing before kickoff. Two rounds of revisions on each major deliverable are included.

Work outside the agreed scope (additional departments, new feature requests, post-handoff edits) is billed at my then-current hourly rate or as a separate fixed-fee engagement.

6. Cancellation and refunds

Before kickoff: If you cancel before the kickoff call, you may receive a full refund of the initial 50% minus a $500 administrative fee.

After kickoff: The initial 50% becomes non-refundable once work begins, since I've reserved your slot and started delivering value.

If I cancel: If I'm unable to complete the build for any reason on my end, I'll refund all fees paid for work not yet delivered, prorated against the deliverables completed.

7. Intellectual property

What you own: All custom deliverables I create specifically for your business — your Blueprint, your maps, your SOPs, your KPI dashboard. You own them outright on final payment.

What I retain: I keep ownership of my underlying frameworks, methodologies, templates, and the Central Operating System™ approach. You get a perpetual, royalty-free license to use anything I deliver in the operation of your business — but you can't resell or redistribute my frameworks as standalone products.

Portfolio rights: I may reference our engagement in case studies, talks, or marketing — without disclosing confidential details — unless you opt out in writing.

8. Confidentiality

Both of us agree to keep the other's confidential information confidential. That includes business strategy, financials, customer lists, internal processes, and anything else clearly non-public. This obligation continues for 3 years after our engagement ends.

9. Disclaimers

The service is provided "as is." I make no warranties, express or implied, about specific business results, revenue, growth, or fit for any particular purpose beyond what's explicitly described in Section 1.

Nothing I deliver constitutes legal, tax, or financial advice. Consult appropriate professionals for those.

10. Limitation of liability

To the maximum extent permitted by law, my total liability for any claim arising from our engagement is limited to the total fees you paid me in the 6 months before the claim arose.

Neither party is liable for indirect, incidental, consequential, or punitive damages — including lost profits or lost opportunities — even if advised of the possibility.

11. Indemnification

You agree to indemnify me against any third-party claim arising from your use of the deliverables in your business, except to the extent the claim results from my gross negligence or willful misconduct.

12. Governing law

These Terms are governed by the laws of Ontario, Canada. Any dispute will be resolved in the courts of Ontario, unless we both agree in writing to mediation or arbitration.

13. Changes to these Terms

I may update these Terms occasionally. Material changes will be communicated to active clients by email. Continued engagement after notice constitutes acceptance.

14. Entire agreement

These Terms — together with any signed proposal, statement of work, or invoice — make up the entire agreement between us and supersede any prior conversations.
